Geldards’ Cardiff based corporate team has successfully advised the shareholders of Simbec-Orion Group Limited on the sale of a majority shareholding to CBPE Capital LLP. The investment was made by the £459m CBPE Capital Fund IX to acquire the shareholding of the Wales Life Sciences Investment Fund, a specialist fund managed by Arix Capital on behalf of Welsh Government.

CBPE’s investment will provide Simbec-Orion with the financial resources to invest in further international growth and expansion both organically and through acquisitions. CBPE has committed additional funds for future investment in operations, facilities and further expansion geographically, particularly in the United States and Continental Europe, and across all its business units.

Simbec-Orion was formed in 2014 via the merger of Simbec Research and Orion Clinical, which was funded by Wales Life Sciences Investment Fund having acquired Simbec Research in May 2013. Simbec-Orion provides a broad, full service Clinical Research Organisation offering to its clients across all stages of drug development Phases I, II and III. The group focuses the majority of its resources on biotech companies and small-cap, specialty and mid-cap pharmaceutical companies, especially those operating in oncology, rare diseases and orphan indications, respiratory conditions and translational medicine.

The Geldards team was led by Partners Geraint Tilsley and Andrew Morris, who dealt with all aspects of the transaction acting on behalf of shareholders and managers of Simbec-Orion, including the Wales Life Sciences Investment Fund.
